1. Acceptance of Terms

By accessing or using QSME ("the Service"), operated by Baqshi Limited trading as QSME, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

2. Description of Service

QSME provides a software-as-a-service platform that operates on a pay-as-you-go and subscription-based model. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration

• You must create an account to access the Service
• You are solely responsible for maintaining the confidentiality of your account credentials
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Payment Terms

• Charges are applied based on your selected subscription plan and/or usage
• All payments are final and non-refundable. The only exceptions are duplicate charges and errors made by QSME, handled through the refund request form on your Billing page — see the Refund Policy
• We reserve the right to modify pricing at any time
• Failure to pay may result in immediate suspension of access

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit malware, spam, or harmful content
• Interfere with or disrupt the Service's operation

6. Intellectual Property

All content, features, and functionality of the Service are owned by QSME or our licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QSME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, SERVICE INTERRUPTIONS, UNAUTHORIZED ACCESS, OR ERRORS IN THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

8. Indemnification

You agree to indemnify, defend, and hold harmless QSME and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service, violation of these Terms, or violation of any third-party rights.

9. Termination

We may terminate or suspend your access at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Any accrued fees remain payable.

10. Governing Law

These Terms shall be governed by the laws of New Zealand. Any disputes shall be resolved exclusively in the courts located in New Zealand.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms.
